Terms & Conditions

This Master Subscription Agreement (hereinafter "MSA") is a legal agreement between you or the entity that you represent (hereinafter "You", "Your", "The Customer" or "Controller") and the publisher of INVOQ cloud contact center software as a Service (hereinafter "INVOQ" or "Service"). 


The MSA governs your usage of INVOQ, invoqcx.com published by the Service provider from the date of signing up for the application. By signing up to INVOQ, you agree to the terms of this agreement. This Agreement was last updated on April 2, 2026. It is effective between You and Us as of the date of You accepting this Agreement. 


1. Definitions 


In this Agreement, except to the extent expressly provided otherwise: 

  • “Agreement”: This agreement and any amendments to this Agreement from time to time. 

  • “Controller Personal Data”: Any Personal Data processed by the Processor on behalf of the Controller under or in relation to this Data Processing Agreement. 

  • “Data Protection Laws”: All applicable laws relating to the processing of Personal Data including the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data and, where applicable, the General Data Protection Regulation (EU 2016/679). 

  • “Effective Date”: The date of execution of this Agreement or the date of account creation. 

  • “INVOQ”: The cloud contact center software and platform. 

  • “Term”: The duration of this Agreement, commencing in accordance with Clause 3.1. 


2. Object of the Agreement 


2.1 The Customer and INVOQ have entered into an agreement where INVOQ will be responsible for supplying and maintaining the cloud contact center software. Details of products, services and pricing are described in the separate “Product, Service and Pricing Agreement”.

 

2.2 As personal data will be processed on behalf of the Controller and according to their instructions, the services are in accordance with applicable UAE Data Protection Laws and, where relevant for MENA/International operations, international standards. 


2.3 The terms “personal data,” “processing,” and “Controller” are to be interpreted according to the definitions given in the UAE Federal Decree-Law No. 45 of 2021. This agreement shall become effective when accepted by both Parties and shall apply if INVOQ processes personal data on behalf of the Controller. 


3. Term and Termination 


3.1 Term Structure: This Agreement commences on the Effective Date and remains in effect until all active Service Orders (Cloud) or License Agreements (On-premises/Hybrid) have expired or been terminated. 

  • Cloud Services: Governed by the Initial Term and Renewal Terms defined in the specific Service Order. 

  • On-premises/Hybrid Deployments: Governed by the term of the Perpetual or Term-based Software License and the associated Annual Maintenance/Support Agreement. 


3.2 Renewal: Unless otherwise specified in a signed Service Order or Quote: 

  • Cloud & Support Subscriptions: These will automatically renew for successive periods equal to the expiring term, unless either party provides written notice of non-renewal at least thirty (30) days prior to the end of the current term. 

  • Perpetual Licenses: These do not "expire," but the associated Maintenance and Support services will renew annually unless terminated in accordance with this clause. 


3.3 Termination for Convenience (Early Termination) 

  • Cloud Services: Either party may terminate for convenience by providing thirty (30) days’ prior written notice. Fees paid for the remainder of the current term are non-refundable. Any remaining prepaid credits for usage-based services (e.g., SMS, Voice minutes) will be refunded, net of any outstanding invoices and bank charges. 

  • On-premises/Hybrid Services: Due to the nature of software installation, professional services and hardware deployment, termination for convenience is subject to the completion of paid milestones and any specific cancellation fees outlined in the original Project Quote or Statement of Work (SOW). 


3.4 Termination for Cause: Either Party may terminate this Agreement immediately upon written notice if the other Party commits a material breach and fails to remedy said breach within thirty (30) days of receiving written notice detailing the breach.

  • On-premises/Cloud Implications: Upon termination for cause, the Customer must immediately cease use of the INVOQ software, uninstall any on-premises instances and return or destroy all confidential documentation provided by INVOQ. 


3.5 Effect of Termination; Upon the effective date of termination: 

  • All rights granted to the Customer under this Agreement shall immediately cease. 

  • The Customer shall remain liable for any outstanding payments for services rendered or hardware/licenses delivered up to the date of termination. 

  • INVOQ will provide, upon the Customer's written request and subject to reasonable fees, assistance in the transition of data or the secure decommissioning of on-premises software instances. 

  • Any prepaid, unused usage-based credits (excluding licensing or installation fees) will be refunded to the Customer within thirty (30) days, net of any unpaid amounts.


4. Prices and Payment Conditions 


4.1 All prices exclude travel, applicable taxes (including VAT as per UAE law), duties and fees. 


4.2 INVOQ reserves the right to modify its standard Price List. Modifications will be effective from the date written notice is provided via email or the platform.  


4.3 All amounts remaining unpaid on the due date shall be subject to a late payment penalty as permitted under UAE regulations.  


5. Technical and Organizational Measures 


5.1 INVOQ warrants and undertakes to employ reasonable and appropriate technical and organizational security measures for data processing to ensure the confidentiality and integrity of Customer data.  


5.2 INVOQ shall not correct, erase or block personal data provided by the Controller unless explicitly instructed to do so by the Controller. 


5.3 INVOQ confirms compliance with the data protection regulations of the United Arab Emirates and relevant regional jurisdictions in the MENA region. 


6. Subcontractors 


6.1 The engagement of subcontractors is permitted provided they are bound by the same data protection obligations as set forth in this Agreement.

 

6.2 Ancillary services (telecom carriers, facility management) are not regarded as subcontracts but are subject to strict confidentiality agreements. 


8. Limitation of Liability

 

IN NO EVENT SHALL INVOQ, ITS OFFICERS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS OR REPUTATION. 


9. Illegal Activities

 

Using the Services for illegal purposes, "spamming" or "phishing" is strictly prohibited. It is your responsibility to comply with the laws of the United Arab Emirates and the jurisdictions in which you operate. INVOQ reserves the right to suspend or eliminate accounts found in violation of UAE cybercrime laws or regional telecommunications regulations. 


10. Governing Law and Jurisdiction

 

This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates as applied in the Emirate of Dubai. 

Any dispute arising out of or in connection with this contract shall be referred to and finally resolved by arbitration under the Arbitration Rules of the Dubai International Arbitration Centre (DIAC). The seat of arbitration shall be Dubai, UAE. The languages of the arbitration shall be English or Arabic. The award of the arbitral tribunal is final and binding. 


11. Trademark

 

INVOQ is a protected trademark. You agree not to display or use the INVOQ trademark in any manner without prior written permission. 


12. Modification of Terms

 

This Agreement may be modified by INVOQ at its sole discretion. Such modifications will be effective once posted on www.invoqcx.com. Your continued use of the Service constitutes agreement to the updated Terms.
